01Who you are contracting with

The Reborn Rx platform is operated by Reborn RX LLC, a Florida limited liability company with its principal place of business at P.O. Box 8130, Fayetteville, AR 72717 ("Reborn Rx," "we," "us," or "our"). These Terms of Service (the "Terms") form a binding agreement between you and Reborn RX LLC.

Reborn Rx is a technology and administrative services company. Reborn Rx does not practice medicine, provide medical services, employ prescribing clinicians, or dispense medication. Reborn Rx provides the software platform, patient support, billing and administrative services that support the delivery of care by others.

Medical services

Provided by [MEDICAL GROUP NAME] and affiliated independent physician-owned professional entities (together, the "Medical Group"). Your clinician's professional judgment is exercised independently of Reborn Rx.

Pharmacy services

Provided by independent, state-licensed U.S. pharmacies that hold their own licenses and are separately responsible for compounding, dispensing, labeling, shipping, and billing for medication.

Your relationships

You have a commercial relationship with Reborn Rx, a patient relationship with the Medical Group, and your medication is dispensed by a licensed pharmacy. These are separate relationships governed by separate agreements.

02Acceptance and eligibility

By creating an account, completing a medical intake, submitting payment details, or otherwise using the platform, you agree to these Terms, the Privacy Policy, and the Telehealth Informed Consent. If you do not agree, do not use the platform.

To use Reborn Rx you must:

• Be at least 18 years of age;
• Be physically located in the United States in a state where the Medical Group is licensed at the time of each visit;
• Have the legal capacity to enter into a binding contract; and
• Provide complete and truthful information about your identity and health.

Reborn Rx is not available to patients outside the United States, including U.S. citizens traveling abroad. We do not knowingly provide services to anyone under 18. You may not create an account on behalf of another person, and you may not permit another person to use your account.

03What the platform is and is not

Educational content on the platform — articles, comparisons, dosing explanations, and program descriptions — is general health information. It is not medical advice and does not establish a patient-clinician relationship. A patient-clinician relationship is formed only when a clinician at the Medical Group accepts you into care.

Reborn Rx does not guarantee that any particular clinician, medication, dose, or appointment time will be available, and does not guarantee any health outcome.

04Your account and the accuracy of your information

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@rebornrx.health if you suspect unauthorized access.

You must give complete and accurate health information. Your clinician relies on your intake, medication list, allergy history, and family history to decide whether treatment is safe for you. Omitting or falsifying information — for example a history of cancer, kidney or liver disease, or a current pregnancy — can cause serious injury or death.

Providing false information is a material breach of these Terms. We may terminate your account and stop your treatment immediately, without refund of any month already shipped, if we determine you have done so.

05Medical services and the absence of any prescription guarantee

Clinicians at the Medical Group exercise independent professional judgment. Reborn Rx does not direct, influence, or interfere with clinical decisions, and no Reborn Rx employee reviews or overrides a clinician's determination.

Payment does not purchase a prescription — and nothing is charged until a prescribing decision is made. After reviewing your intake, your clinician may:

• Determine that NAD+ is appropriate and issue a prescription;
• Request additional information, laboratory testing, or a synchronous video visit before deciding;
• Recommend a different treatment, a different medication, or lifestyle-only management;
• Decline to prescribe and refer you to in-person care; or
• Determine that telehealth is not an appropriate care setting for you.

Whether a synchronous audio-video visit is required before a prescription may be issued depends on the law of your state and on your clinician's judgment. We will tell you which applies to you before you are charged.

Neither Reborn Rx nor any clinician is compensated on the basis of whether a prescription is issued or which medication is selected. Reborn Rx does not receive commissions, rebates, or dispensing fees from any pharmacy or manufacturer.

06Pricing, billing, and automatic renewal

The program is a single all-inclusive monthly price of $199.00, covering your clinical evaluation and ongoing care, the medication itself, and temperature-controlled shipping. Laboratory testing, if your clinician orders it, is billed separately by the laboratory.

Nothing is charged when you sign up

When you submit payment details, we place an authorization hold to confirm the payment method is valid. No funds are captured. Your first charge occurs only after a clinician has reviewed your intake and approved treatment. If treatment is not approved, the authorization is released and you are never charged.

Automatic renewal

Once treatment is approved, this is a recurring monthly subscription. By enrolling you authorize Reborn RX LLC to charge your payment method $199.00 on your approval date and on the same date each month thereafter, without further notice, until you cancel. Each charge corresponds to one month’s supply and one month of care.

Cancellation

You may cancel at any time, with no fee and no minimum term, through your account, by email, or by telephone. Canceling stops all future charges and all future shipments. Your renewal date is the deadline — canceling after it means that month has been charged and its supply dispensed.

Refunds

Medication that has already been dispensed and shipped cannot be returned or refunded, because federal and state pharmacy law prohibits a pharmacy from accepting back a dispensed drug. A month whose supply has shipped is therefore not refundable. Billing errors, charges raised without approval, and charges for supplies not yet dispensed are refunded in full. Full detail is in the Refund & Cancellation Policy, which is incorporated into these Terms.

Price changes, taxes, and failed payments

We may change the price with at least 30 days’ advance written notice by email, and you may cancel before the next renewal to avoid it. Applicable sales tax is added where required. If a charge fails, we may retry it and may suspend service and shipments until payment succeeds. You are responsible for keeping your payment information current.

07Medication and dispensing

If a clinician issues a prescription, it is transmitted to a licensed pharmacy of record, which dispenses and ships it. Reborn RX LLC does not manufacture or dispense prescription medication and holds no pharmacy license; it remits the medication portion of your monthly price to the dispensing pharmacy.

• The medication is included in your monthly price. There is no separate pharmacy invoice and no per-shipment surcharge.
• The price does not vary with your dose. Your clinician sets the dose on clinical grounds, and it has no effect on what you pay.
• Clinicians are compensated for their clinical time. They receive no additional payment for issuing a prescription, and none for which medication is selected.
• You may have your prescription filled at a pharmacy of your choosing instead. Tell your care team. In that case you pay that pharmacy directly for the medication, and we will move you to a care-only price for the clinical services.

Once dispensed, prescription medication cannot be returned or resold under federal and state law. See the Refund & Cancellation Policy and Shipping Policy.

08Compounded medications

Where a clinician prescribes a compounded formulation, it is prepared for you individually by a state-licensed compounding pharmacy, only where the clinician has documented a specific clinical need that a commercially available FDA-approved product does not meet. Reborn Rx does not offer compounded medication as a substitute for, or a lower-cost copy of, an available approved drug.

You acknowledge that you have read the Important Safety Information and understand the risks of the medications discussed on this platform, including that NAD+ is not FDA-approved, is not a treatment for any disease, is not appropriate during active cancer, and requires oncology clearance after a previous cancer diagnosis.

09Acceptable use

You agree not to:

• Provide false, misleading, or another person's information;
• Seek a prescription for anyone other than yourself, or resell, share, or divert any medication;
• Attempt to obtain a prescription by circumventing the medical intake or safety screening;
• Access the platform through automated means, scrape it, or reverse engineer it;
• Interfere with the platform's security, availability, or integrity;
• Upload malicious code or content that is unlawful, harassing, or infringing; or
• Use the platform in violation of any applicable law.

Diverting prescription medication is a crime and endangers others. We report suspected diversion to the appropriate authorities.

10Intellectual property and trademarks

The platform, including its text, design, graphics, logos, software, and clinical content, is owned by Reborn Rx or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the platform for your personal, non-commercial use in receiving care.

All third-party trademarks referenced on the platform are the property of their respective owners. Reborn Rx is not affiliated with, endorsed by, or sponsored by any pharmaceutical manufacturer. Reference to a branded medication is for identification only and does not imply any relationship or that the product will be prescribed to you.

11Disclaimers

Except as expressly stated in these Terms and to the fullest extent permitted by law, the platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Reborn Rx does not warrant that the platform will be uninterrupted, timely, secure, or error-free, or that content will be accurate or complete. Nothing in this section limits or excludes the professional liability of any clinician for the medical services they provide, or any liability that cannot be excluded under applicable law.

12Limitation of liability

To the fullest extent permitted by law, Reborn Rx and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the platform, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Reborn Rx's total aggregate liability arising out of or relating to these Terms or the platform will not exceed the greater of (a) the total fees you paid to Reborn Rx in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. These limitations do not apply to claims for medical malpractice against a treating clinician or the Medical Group, or to liability for gross negligence, fraud, or willful misconduct.

13Indemnification

You agree to indemnify and hold harmless Reborn Rx and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) information you provided that was false or incomplete, (c) your misuse or diversion of any medication, or (d) your violation of any law or of the rights of a third party.

14Suspension and termination

You may stop using the platform at any time and may cancel as described in the Refund & Cancellation Policy.

We may suspend or terminate your account, with or without notice, if you breach these Terms, if we suspect fraud or diversion, if you provide false health information, if your conduct endangers our staff or clinicians, or if we cease operating in your state. If we terminate your account for reasons other than your breach, we will refund any month you have paid for whose medication has not yet shipped.

Termination does not delete your medical record. The Medical Group retains records as required by state law and you retain the right to request a copy. See the Notice of Privacy Practices.

15Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or through the platform at least 30 days before it takes effect, and we will update the "Effective" date above. Changes do not apply retroactively. Continuing to use the platform after a change takes effect means you accept the updated Terms. If you do not accept them, cancel before the effective date.

16Dispute resolution, arbitration, and class action waiver

Informal resolution first

Before filing a claim, you agree to contact us at info@rebornrx.health and give us 60 days to resolve the dispute informally.

Binding arbitration

If we cannot resolve a dispute informally, you and Reborn Rx agree that any dispute arising out of or relating to these Terms or the platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court.

Class action waiver

You and Reborn Rx agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Carve-outs

This section does not apply to (a) claims of medical malpractice or professional negligence against a clinician or the Medical Group, (b) claims that may not be arbitrated under applicable law, or (c) requests for injunctive relief regarding intellectual property.

How to opt out

You may reject this arbitration agreement by emailing info@rebornrx.health with your name and account email and the words "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms and will not affect your care.

17Governing law and severability

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules, except that the Federal Arbitration Act governs Section 16. Subject to Section 16, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction.

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it.
